Platform Terms of Use and Conditions<\/strong><\/p>

\u00a0<\/strong><\/p>

  1. General Provisions<\/strong><\/li><\/ol>

    1.1 These Platform Terms and Conditions of Use (hereinafter referred to as the “Terms”) govern the rules and conditions for the use of the GeLife online platform (hereinafter referred to as the “Platform”), which is owned and operated by GeLife Hub LLC (hereinafter referred to as the “Company” or “GeLife”).<\/p>

    1.2 The Platform is an informational and promotional digital environment that enables users to publish information about companies, organizations, entrepreneurs, specialists, services, products, events, and other commercial offerings, as well as to access and use the Platform’s additional features.<\/p>

    1.3 These Terms constitute a legally binding agreement between the Company and each user of the Platform.<\/p>

    1.4 By registering on the Platform, creating an account, using the Platform, publishing information, or using any paid services available on the Platform, the user confirms that they have read these Terms, fully agree to them, and undertake to comply with them. If the user does not fully or partially agree to these Terms, the user must refrain from using the Platform.<\/p>

    1.5 The use of the Platform is also governed by the Company’s Privacy Policy and Cookie Policy, which are published on the Platform and form an integral part of these Terms.<\/p>

    1.6 The Company reserves the right, in compliance with the applicable legislation of Georgia, to amend or update these Terms at any time. The updated version shall be published on the Platform and shall become effective upon publication or on the date specified therein, unless otherwise required by applicable law.<\/p>

    1. Definitions<\/strong><\/li><\/ol>

      The following terms used in these Terms shall have the meanings set forth below, unless the context requires otherwise:<\/p>

      • “Company” means GeLife Hub LLC, the owner and operator of the Platform.<\/li>
      • “Platform” means the GeLife website, mobile application, and\/or any other digital service or environment through which users may access and use the functionalities offered by the Company.<\/li>
      • “User” means any natural person or legal entity that uses the Platform, regardless of whether such person or entity has a registered account.<\/li>
      • “Business User” (Merchant) means a legal entity, sole proprietor (individual entrepreneur), or any other business entity that publishes information on the Platform regarding its business activities, services, or products.<\/li>
      • “Account” means a personal profile created for a User through which the User gains access to the Platform’s features and functionalities.<\/li>
      • “Content” means any text, photograph, video, graphic image, logo, description, listing, advertisement, comment, review, rating, or any other information uploaded, published, or otherwise made available on the Platform.<\/li>
      • “Paid Services” means any service offered by the Company that is provided in exchange for the payment of the applicable fee.<\/li>
      • “Advertisement” means any commercial or promotional content published on the Platform for the purpose of promoting a product, service, company, brand, or any other commercial activity.<\/li>
      • “Moderation” means the process carried out by the Company to review, evaluate, restrict, edit, or remove Content in accordance with these Terms and applicable law.<\/li>
      • “Personal Data” means any information relating to an identified or identifiable natural person, the processing of which is carried out in accordance with the legislation of Georgia and the Company’s Privacy Policy.<\/li><\/ul>
        1. Legal Status of the Platform<\/strong><\/li><\/ol>

          3.1 GeLife is an informational, advertising, and technology-based online platform that provides users with the technical means to publish and disseminate information.<\/p>

          3.2 Unless expressly stated otherwise in a particular case, the Company is not the seller, supplier, distributor, representative, or intermediary of any products or services published on the Platform.<\/p>

          3.3 The information published on the Platform is provided by the respective User, and the Company shall not be responsible for the accuracy, completeness, or reliability of such information, except as required by applicable law.<\/p>

          3.4 Any transaction, negotiation, provision of services, purchase of products, payment, or any other legal relationship shall arise directly between the User and the relevant Business User, and the Company shall not be a party to such relationship.<\/p>

          3.5 The Company does not guarantee that the information published on the Platform will result in any particular commercial outcome, including, without limitation, sales, an increase in the number of customers, revenue, or any other economic benefit.<\/p>

          3.6 In order to ensure the proper, secure, and lawful operation of the Platform, the Company shall have the right to moderate Content, restrict or remove information, temporarily or permanently suspend access to an Account, and take any other measures deemed necessary in accordance with these Terms and the applicable legislation of Georgia.<\/p>

          3.7 The Platform shall operate in accordance with the applicable legislation of Georgia, and every User shall use the Platform in good faith and in full compliance with these Terms and the applicable laws of Georgia.<\/p>

          1. Registration<\/strong><\/li><\/ol>

            4.1 Registration Requirements<\/strong><\/p>

            4.1.1 In order to access certain features of the Platform, a User must create a personal Account.<\/p>

            4.1.2 During the registration process, the User shall provide complete and accurate information, verify their email address and\/or telephone number where required, and promptly update such information whenever any changes occur.<\/p>

            4.1.3 The User is responsible for maintaining the security of their Account, including safeguarding their username (login credentials) and password, and shall be fully responsible for all activities carried out through their Account. The User shall immediately notify the Company of any unauthorized access to or use of their Account.<\/p>

            4.1.4 The User shall not transfer their Account to any third party, authorize any third party to use their Account, create an Account on behalf of another person without proper authorization, or create multiple Accounts for the purpose of circumventing the Platform’s rules.<\/p>

            4.1.5 The Company reserves the right, where necessary, to request additional information or documentation to verify the User’s identity or to ensure the security of the Account.<\/p>

            4.1.6 The User may discontinue using the Platform and request the deletion of their Account at any time, unless otherwise provided by applicable law or these Terms.<\/p>

            4.1.7 The User shall not assign or transfer their Account or any rights or obligations related thereto, in whole or in part, to any third party without the Company’s prior written consent.<\/p>

            4.2 Business Accounts (Merchant Accounts)<\/strong><\/p>

            4.2.1 A Business Account (Merchant Account) may be created only by legal entities, sole proprietors (individual entrepreneurs), or other entities duly authorized to carry out the relevant business activities.<\/p>

            4.2.2 The Business User shall provide the company’s name, identification number, contact information, and, where applicable, any licenses, permits, or other documents confirming the lawful conduct of the relevant business activity.<\/p>

            4.2.3 The Business User represents and warrants that all information submitted to the Company is complete, accurate, and up to date.<\/p>

            4.2.4 The Company reserves the right to verify the information provided, request additional documentation, or temporarily suspend the Business Account until the verification process has been completed.<\/p>

            4.2.5 The Business User shall promptly notify the Company of any changes that may affect its business operations or the accuracy of the information published on the Platform.<\/p>

            1. Use of the Platform<\/strong><\/li><\/ol>

              5.1 The Platform may be used only for lawful purposes and in compliance with the applicable legislation of Georgia and these Terms.<\/p>

              5.2 The User shall have the right to:<\/p>

              5.2.1 Create and manage their own Account;<\/p>

              5.2.2 Publish information on the Platform in accordance with the rules and requirements established by the Platform;<\/p>

              5.2.3 Access and use the free and paid features and services available on the Platform;<\/p>

              5.2.4 Communicate with other Users through the functionalities provided by the Platform.<\/p>

              5.3 The User shall use the Platform in good faith and shall refrain from any conduct that may cause harm to the Company, other Users, or the proper operation of the Platform.<\/p>

              5.4 The User shall not:<\/p>

              5.4.1 Use the Platform or its software in any unauthorized or unlawful manner;<\/p>

              5.4.2 Interfere with the operation of the Platform or circumvent its security measures;<\/p>

              5.4.3 Collect data through the use of automated tools, including bots, crawlers, scrapers, or similar technologies, without the Company’s prior written consent;<\/p>

              5.4.4 Distribute spam, unsolicited communications, or similar messages;<\/p>

              5.4.5 Use the Platform for fraudulent, unlawful, or any other improper or bad-faith purposes.<\/p>

              5.5 The Company reserves the right to take any reasonable measures necessary to ensure the security, integrity, and proper operation of the Platform.<\/p>

              1. Content Publication<\/strong><\/li><\/ol>

                6.1 The User may publish text, graphics, photographs, videos, and other types of Content on the Platform, provided that such Content complies with the applicable legislation of Georgia and these Terms.<\/p>

                6.2 The User shall bear full responsibility for all Content uploaded, published, or otherwise made available by the User on the Platform.<\/p>

                6.3 The User represents and warrants that they own or otherwise have the lawful right to use all Content published on the Platform and that the publication of such Content does not infringe the rights of any third party.<\/p>

                6.4 By publishing Content on the Platform, the User grants the Company a non-exclusive, royalty-free license to use, host, reproduce, process, display, and otherwise utilize such Content solely for the purposes of operating, maintaining, technically processing, moderating, and promoting the Platform, without limiting or affecting the User’s intellectual property rights.<\/p>

                6.5 The Company reserves the right to modify the visual format or presentation of any Content where necessary to ensure the proper technical operation of the Platform or to maintain a consistent design and user interface.<\/p>

                1. Moderation<\/strong><\/li><\/ol>

                  7.1 Content published on the Platform may be subject to prior or subsequent moderation. The purpose of moderation is to ensure that the information published on the Platform complies with the applicable legislation of Georgia, these Terms, and the Platform’s internal standards.<\/p>

                  7.2 The Company reserves the right to review any Content published on the Platform, request additional explanations or supporting documentation, temporarily suspend the publication of Content, and\/or restrict or remove any Content where a violation is identified.<\/p>

                  7.3 Content may be rejected, withheld from publication, or removed if it violates applicable law, contains false, inaccurate, or misleading information, infringes the rights of any third party, fails to comply with these Terms, and\/or poses a risk to the security, integrity, or reputation of the Platform.<\/p>

                  1. Prohibited Content and Activities<\/strong><\/li><\/ol>

                    8.1 The publication of any information, advertisement, or other Content on the Platform is prohibited if such Content:<\/p>
